1. Service ProviderПоставщик услуг

These terms govern the use of services provided by Frostwaypoint Maritime (Business ID: 3012847-5), registered in Finland. By requesting services or entering into a consulting engagement with Frostwaypoint Maritime, you agree to these terms. Настоящие условия регулируют использование услуг, предоставляемых Frostwaypoint Maritime (Business ID: 3012847-5), зарегистрированной в Финляндии.

2. Nature of ServicesХарактер услуг

Frostwaypoint Maritime provides advisory and consulting services to maritime industry professionals and organisations. Our advice is professional opinion based on experience and available information. The ultimate authority for all operational decisions remains with the vessel master, vessel operator, and relevant shore-based management. Frostwaypoint Maritime оказывает консультационные услуги профессионалам и организациям морской отрасли. Наши советы — это профессиональное мнение на основе опыта и доступной информации. Окончательная ответственность за все оперативные решения остаётся за капитаном, оператором судна и береговым менеджментом.

3. Engagement TermsУсловия взаимодействия

Each consulting engagement is subject to a written agreement or confirmed email exchange specifying the scope of work, fees, and deliverables. No engagement is binding until both parties have confirmed the terms in writing. Каждое консультационное взаимодействие подчиняется письменному договору или подтверждённому обмену электронными письмами, определяющему объём работ, гонорары и результаты.

4. Fees and PaymentГонорары и оплата

Fees are as agreed in the engagement terms. Invoices are payable within 30 days of issue unless otherwise agreed. Late payment may be subject to interest at the rate prescribed by Finnish law. Travel, accommodation, and out-of-pocket expenses incurred in connection with on-board engagements are invoiced separately at cost. Гонорары устанавливаются в условиях взаимодействия. Счета оплачиваются в течение 30 дней с даты выставления, если иное не согласовано. Расходы на проезд, проживание и сопутствующие расходы для выездных взаимодействий выставляются отдельно по фактической стоимости.

5. Limitation of LiabilityОграничение ответственности

Frostwaypoint Maritime's liability for any claim arising from a consulting engagement is limited to the fees paid for that engagement. We exclude liability for indirect, consequential, or economic losses. Nothing in these terms limits liability for personal injury caused by negligence, or for fraud. Ответственность Frostwaypoint Maritime по любому иску, возникающему из консультационного взаимодействия, ограничена гонорарами, уплаченными за это взаимодействие. Мы исключаем ответственность за косвенные, последующие или экономические убытки.

6. ConfidentialityКонфиденциальность

We treat all client information as confidential. We do not disclose client identities, vessel details, or the content of engagements to third parties without consent, except where required by law or by the terms of a specific engagement. Мы рассматриваем всю информацию о клиентах как конфиденциальную. Мы не раскрываем личность клиентов, данные судов или содержание взаимодействий третьим лицам без согласия, за исключением случаев, предусмотренных законом.

7. Intellectual PropertyИнтеллектуальная собственность

Voyage plans, reports, training materials, and other documents we produce remain our intellectual property until fees are paid in full. Upon full payment, clients receive a licence to use the deliverables for the purposes specified in the engagement agreement. Планы рейсов, отчёты, учебные материалы и другие документы, которые мы создаём, остаются нашей интеллектуальной собственностью до полной оплаты гонораров.

8. Governing LawПрименимое право

These terms and any engagement entered into under them are governed by Finnish law. Any dispute shall be subject to the jurisdiction of the Helsinki District Court, unless otherwise agreed in writing. Настоящие условия и любое взаимодействие, заключённое в соответствии с ними, регулируются финским правом. Любые споры подлежат юрисдикции Окружного суда Хельсинки, если иное не согласовано в письменной форме.
